2024-05 IOF Technical Oversight Board (TOB) Membership Rules
Definitions
As used in this document, Working Group refers to any OAGi Working Group (defined by the OAGi Digital Resource Development Process) that is under the authority of the TOB.
Composition
The TOB consists of two groups: Standing members and Working Group (WG) representatives (default is the WG Chair).
Working Group Representation
Each Working Group has 1 representative to the TOB
Each Working Group is allowed 1 vote on matters or ballots before the TOB and is cast by their TOB representative or alternate
By default, the Working Group Chairperson is the Working Group’s TOB representative
However, a Working Group may select someone other than their Chairperson to be their TOB representative.
Each Working Group is allowed to select an alternate who may act as a proxy on a TOB ballot in cases where their TOB representative is not available or eligible to vote on behalf of the WG
Standing Members
The TOB selects Standing Members who remain in the role until they resign, are removed, or are otherwise no longer able to fulfill the responsibilities of TOB membership
Standing Members of the TOB are expected to provide expertise, guidance, and facilitate the goals of the IOF
The Chairs and Co-Chairs of the TOB are treated as Standing Members while they serve in the Chair or Co-Chair role
Working Group TOB Representatives are not Standing Members
The number of Standing Members shall not exceed the number of Working Group Representatives
To become a Standing Member of the TOB a person must be elected by members of the TOB
First, they must be nominated by a member of the TOB
Then a formal vote of the TOB on the nomination must be held
Standing members of the TOB can be removed under the following rules:
A TOB Standing Member who misses 3 consecutive TOB votes is automatically removed from the Standing Member role
A TOB member may propose that a Standing Member be removed by a formal vote of the TOB
Voting
Any TOB member has the privilege to vote in a TOB ballot occurring during his or her tenure in the TOB
A given physical (natural) person may cast at most one vote in each TOB ballot
If a physical person has both a Standing Member and WG Representative role in the TOB (e.g. as a WG chair), an alternate member of the WG may vote on the WG’s behalf, but it is suggested that another person be selected to fill the TOB Representative role for that WG longer term.
If a physical person is WG Chairperson of two or more WGs, this person can vote on behalf of one WG only. An alternate member of the other WG(s) may vote on its behalf, but it is suggested that another person be selected to fill the TOB Representative role for that WG(s) longer term.
